This License Agreement (hereinafter referred to as the Agreement) is a legal agreement between you (an individual or legal entity) (hereinafter referred to as the User) and LLC “BASIS-Center” (Russia, Kolomna) (hereinafter referred to as the Rights Holder) for the use of non-exclusive rights to the complex automation system for project works and production preparation BAZIS (hereinafter referred to as the BAZIS Software).
WE REQUEST THAT YOU CAREFULLY READ THE TERMS OF THIS AGREEMENT BEFORE BEGINNING THE INSTALLATION OF THE BAZIS SOFTWARE ON YOUR COMPUTER.
This Agreement is considered concluded at the moment you accept its terms and begin the installation and/or use and/or copying of the BAZIS Software.
This Agreement is valid for the entire duration of the lawful use of the BAZIS Software by the User within the duration of the Rights Holder's copyright on the BAZIS Software, provided that the User duly adheres to the terms of this Agreement. If any provision of the Agreement becomes invalid, void, or unenforceable, the remaining provisions shall remain in force.
This Agreement specifies the entire scope of rights granted to you regarding the BAZIS Software, and all conditions and limitations of its use are outlined, unless otherwise specified in separate agreements (contracts) between you and the Rights Holder.
You have the right to use the BAZIS Software only under the terms of this Agreement, unless otherwise explicitly stated in other contracts or agreements with the Rights Holder. If you do not unconditionally accept the terms of this Agreement, you are not entitled to install and use the BAZIS Software and must remove all its components from your computer (PC).
Violating the terms of this Agreement entails liability under the current legislation of the Russian Federation.
1. Terms and Definitions of this AgreementRights Holder — LLC "BASIS-Center," registered at the address: 140407, Russia, Moscow Region, Kolomna, Shilova St., bldg. 15B, office 11.
Decompilation — the process of reconstructing the source code using a decompiler (a program that translates an executable module (produced by a compiler) into a relatively equivalent source code in a high-level programming language).
Disassembly — the process and/or method of obtaining the source text of a program in assembly language from a program in machine code.
2. General Provisions2.1. The term
BAZIS Software includes BAZIS-Furniture Maker, BAZIS-Cabinet, BAZIS-Cutting, Post-Processor, BAZIS-Estimate, BAZIS-CNC, BAZIS-Showroom, BAZIS-Warehouse, BAZIS-Label, BAZIS-Packaging, libraries, and applications (additional software) included in this software package, as well as any updates and modifications thereof. The conditions specified hereinafter apply both to the BAZIS Software as a whole and to each of its components individually.
2.2. All exclusive rights to the BAZIS Software, additional software related to the BAZIS Software, any copies or components (parts) of the BAZIS Software (including texts (including documentation for the BAZIS Software or its part)) are owned by the Rights Holder and are protected by the copyright laws of the Russian Federation, as well as the provisions of this Agreement. 3. Types of BAZIS System Licenses, Licensing Rights for Their Use, and Limitations3.1.
Simple Non-exclusive License — a fully functional license for the BAZIS Software, consisting of one or more modules depending on the configuration you choose. It is granted by the Rights Holder to both individuals and legal entities on a non-refundable basis for the entire duration of the Rights Holder's exclusive rights, unless otherwise specified in separate contracts and/or agreements with the Rights Holder and/or its authorized representatives.
3.1.1. The number of simultaneously used BAZIS Software licenses should not exceed the number of licenses legally acquired by you at any time unless otherwise specified in a separate contract or agreement with the Rights Holder. The number of computers on which the Software is installed or the number of potential Software users is not limited.
3.2.
BAZIS Licenses for Educational Institutions3.2.1.
“Educational Package” — a fully functional BAZIS Software license provided by the Rights Holder to educational institutions exclusively for educational purposes and for no other purpose. This type of license can only be multi-user and is granted only to organizations that have a license for educational activities. In the printed version of the license agreement, this type of license is referred to as “Educational Package” or updates for it.
3.2.2.
“Teacher's License” — a fully functional BAZIS Software license provided exclusively for educational purposes and for no other purpose to active teachers of organizations that have a license for educational activities and possess the Educational Package of BAZIS Software. This type of license can only be a single-user license and is granted for a term of 1 (one) calendar year from the date of obtaining the license.
3.3.
Software Provided as an Update3.3.1. If the software is designated by the Rights Holder as an update, you must have a valid BAZIS Software license that the Rights Holder indicates is eligible for an update.
3.3.2. The software designated as an update replaces or complements the license to use the BAZIS Software, which serves as the basis for your right to update. Additional licenses are not provided in this case. You can use only the number of licenses you have purchased simultaneously on all computers of the enterprise.
3.3.3. The upgradable BAZIS Software license and the update itself are a single license, and all the terms regarding use and limitations described in this Agreement apply to it as a whole. The previous BAZIS Software license cannot be transferred, assigned, installed, or used on another computer of your company, unless such an opportunity is separately agreed upon with the Rights Holder.
3.4. Any obligations of the Rights Holder for technical support of previously used BAZIS Software cease at the moment of the lawful transfer of the software supplied as an update to you.
4. User Rights4.1. In addition to other rights expressly stated in this Agreement, the User has the right to perform the following actions:
4.2. The User has the right to permanently transfer all their rights under this Agreement and the BAZIS Software directly to another End User. This right does not apply to BAZIS licenses transferred to you under a Temporary Use Agreement.
4.2.1. The reissuance of the License Agreement to another User can only be done upon written request from the current User directly to the Rights Holder. Its representatives or any third parties may only act as informational intermediaries.
4.2.2. The transfer must cover all BAZIS Software (including all components, media, and printed materials, as well as any updates).
4.2.3. The person receiving the BAZIS Software as a result of such one-time transfer must agree to all the terms of this Agreement, including the obligation not to further transfer this Agreement and the BAZIS Software. A written confirmation of this must also be sent to the Rights Holder.
4.2.4. When transferring their rights to the BAZIS Software to another User, the User agrees to delete the BAZIS Software or its components from the memory of the computer and/or server; to destroy all backup copies of the transferred BAZIS Software.
4.3. If the User is a legal entity, in addition to other rights expressly stated in this Agreement, you have the right to use the BAZIS Software to the fullest extent in accordance with its functional purpose in the quantity and composition specified in the printed version of the License Agreement within your enterprise or its branches.
4.4. If the User is an individual, in addition to other rights expressly stated in this Agreement, you have the right to use the BAZIS Software to the fullest extent in accordance with its functional purpose in the quantity and composition specified in the printed version of the License Agreement within any country in the world.
4.5. If the User is an educational institution, in addition to other rights expressly stated in this Agreement, you have the right to use the BAZIS Software to the fullest extent in accordance with its functional purpose in the quantity and composition specified in the printed version of the License Agreement within the educational institution or its branches.
4.6. The User has the right to all results obtained using the BAZIS Software.
4.7. The User has the right to create a copy of the BAZIS Software solely for archival or backup purposes. You may create and use one (1) backup copy of the BAZIS Software on a computer for archiving and reinstallation.
4.8. The User has the right to use the name of the Rights Holder in relation to the BAZIS Software for advertising purposes with the mandatory prior notification to the Rights Holder.
5. Restrictions5.1. In addition to other restrictions explicitly stated in this Agreement, and unless otherwise specified in a separate contract or agreement with the Rights Holder, this Agreement imposes the following restrictions:
5.2. This Agreement does not grant the User any rights to the means of individualization of the Rights Holder and its partner firms, including (but not limited to) the trademarks and service marks of the Rights Holder and its partner firms.
5.3. The User is not authorized to create any copies of the BAZIS Software other than those explicitly mentioned in this Agreement. In particular (but not limited to), the User is not allowed to copy or move the BAZIS Software or its components obtained from the Rights Holder or its authorized representative over the Internet or on physical media to any servers on the Internet.
5.4. Except for cases explicitly described in the User Rights section of this Agreement, the User is not allowed to distribute, provide, or otherwise transfer rights to use the BAZIS Software (licenses) or its components or physical media containing the BAZIS Software or any copies thereof to third parties. "Transfer of the BAZIS Software" is understood to include (but is not limited to): providing third parties access to the BAZIS Software or its components over a local area network or via the Internet, renting out, leasing, temporarily using, or loaning the BAZIS Software.
5.5. The User is not entitled to open the technology, decompile, and disassemble the BAZIS Software, nor to determine the source code of the BAZIS Software by any other means or to extend its functionality by merging it with other software.
5.6. The User is not allowed to use and copy the BAZIS Software with any known or tampered internal protection mechanisms removed or damaged.
5.7. The User is not allowed to use the BAZIS Software in violation of the terms of this Agreement and/or in violation of the copyright laws of the Rights Holder and/or local legislation.
6. Modification of Protection and Activation Methods for the Software6.1. Right to Change Protection MethodsThe Rights Holder reserves the right to unilaterally change the methods of protection and activation used for the BAZIS Software, including but not limited to the replacement of protective means, the method of storing BAZIS Software licenses, encryption keys, online activation, and other means of confirming legitimate use. Such changes do not result in a reduction of the rights previously granted to the User under the license agreement. These actions comply with the provisions of Article 1229 of the Civil Code of the Russian Federation (CC RF), under which the Rights Holder independently determines the terms for granting the right to use the work (including computer programs), unless otherwise provided by law or contract.
6.2.
Reactivation and Compliance with Usage ConditionsIn the event that the Rights Holder changes the method of protection for the BAZIS Software, the User agrees to undergo a reactivation procedure for the product in the manner and within the timeframe specified by the Rights Holder, including the possible installation of a new license file, switching to a different license accounting system, or performing other technical actions. The Rights Holder guarantees that the new protection method will not worsen the terms of use of the BAZIS Software previously provided to the User, in accordance with the principle of prohibiting unilateral deterioration of the terms of contract performance established by Article 310 of the CC RF (unless otherwise stipulated by contract or law).
6.3.
Cancellation of Previous Protection MethodIn the event of a replacement of the protection method for the BAZIS Software, the right to use the BAZIS Software based on the previous protection method is annulled. Using the BAZIS Software employing the previous protection method after the transition to the new method is considered unlawful. The Rights Holder reserves the right to demand the return of the licensed storage of the BAZIS Software using the previous protection method to prevent unauthorized use. Such actions are lawful within the framework of the license agreement and comply with the norms protecting exclusive rights provided for by Articles 1250 and 1301 of the CC RF.
6.4.
Consequences of Refusal to Switch to a New LicenseThe User confirms and agrees that refusal to transition to the new protection method proposed by the Rights Holder may result in an inability to receive updates, technical support, and other services provided as part of BAZIS Software support. This procedure is conditioned by the developer's right to independently determine the terms of granting rights to use, as well as the terms of updating and supporting the software in accordance with Articles 1286 and 1235 of the CC RF.
7. Duration of the Agreement7.1. In the case of lawful acquisition of rights to use the BAZIS Software or its components, this Agreement is valid for the duration specified in Section 3.
7.2. This Agreement terminates, and your rights are considered lost if you violate any of the terms of this Agreement, as well as if you exercise the rights stated in Section 4.1 of this Agreement.
8. Warranty Obligations of the Rights Holder8.1. The Rights Holder does not provide any warranties, does not set conditions, and makes no statements, either express or implied, by law, custom, practice, or otherwise, except that the BAZIS Software in general meets its intended purpose and technical descriptions.
8.2. The BAZIS Software and accompanying documentation are provided to the End User AS IS, in accordance with the commonly accepted principle in international practice. This means that the Rights Holder is not liable for problems arising during installation, updates, support, and operation of the software (including issues of compatibility with other software products (packages, drivers, etc.), problems arising from ambiguous interpretations of accompanying documentation, discrepancies between expectations and actual results from using the software, etc.).
8.3. The Rights Holder does not take on warranties not provided by this Agreement and/or applicable legislation.
9. Limitations of Liability9.1. The Rights Holder bears no liability for direct or indirect losses, including lost profits, loss of confidential information, arising from the use or inability to use the BAZIS Software, including due to possible errors or typos in technical documentation provided in electronic or printed form.
9.2. The Rights Holder assumes no responsibility for the operation of the BAZIS Software in the event of damage to the User's information carriers, actions of computer viruses, power failures, equipment malfunctions, intentional damage, or violations of operating instructions (attempts to bypass protection, etc.).
9.3. The Rights Holder is not liable for problems in the operation of the BAZIS Software related to the use of pirated system, network, or application software (operating systems, office applications, utilities, etc.).
9.4. The Rights Holder does not initiate or control the posting of any information by the User during the use of the Program, does not influence its content and integrity, and is not aware and cannot be aware at the time of posting whether it violates the legally protected rights and interests of third parties, international treaties, and applicable laws.
10. Technical Support10.1. The Rights Holder or its authorized representative provides free technical support for BAZIS Software licenses, except for the Demo version, for a period of one (1) calendar year from the date of lawful transfer of rights to the BAZIS Software, unless otherwise specified in the Agreement. 10.2. The Rights Holder provides the possibility to use limited functionality of the BAZIS Software within the framework of technical support, described on the website:

11. Consent to Use Information11.1. The User is hereby notified and agrees that the Rights Holder may collect, store, process, and use diagnostic, technical, accompanying information, and information about the use of the BAZIS Software, including, but not limited to, unique system or hardware identifiers, information about the computer and equipment, system software and applications, additional devices, the usage of various modules and functionalities of the BAZIS Software, issues in the operation of the BAZIS Software that are periodically collected to improve the BAZIS Software, the provision of Technical Support, and services related to the BAZIS Software, if such are provided. The Rights Holder may use this information, which does not identify the User, for the purposes described above.
11.2. The User is hereby notified and agrees that the Rights Holder, for the purpose of providing Technical Support to Users, as well as informing them about the peculiarities of the operation of the BAZIS Software, may collect, store, use, and process information about the use of the BAZIS Software.
