for the Use of the Integrated Automation System

for Design Work and Production Preparation BAZIS


This License Agreement (hereinafter referred to as the "Agreement") is a legal agreement between you (an individual or legal entity) (hereinafter referred to as the "User") and LLC "Bazis-Center" (Russia, Kolomna) (hereinafter referred to as the "Rights Holder") for the use of non-exclusive rights to the Integrated Automation System for Design Work and Production Preparation BAZIS (hereinafter referred to as the "BAZIS Software").

WE ASK YOU TO CAREFULLY READ THE TERMS OF THIS AGREEMENT BEFORE STARTING THE INSTALLATION OF THE BAZIS SOFTWARE ON YOUR COMPUTER.

This Agreement is considered concluded at the moment you accept its terms and begin the installation and/or use and/or copying of the BAZIS Software.

This Agreement is valid for the entire duration of the User's lawful use of the BAZIS Software within the term of the Rights Holder's copyright on the BAZIS Software, provided that the User properly complies with the terms of this Agreement. If any provision of the Agreement becomes invalid, void, or unenforceable, the remaining provisions shall remain in effect.

This Agreement specifies the full extent of the rights granted to you regarding the BAZIS Software, as well as all conditions and limitations on its use, unless otherwise stipulated in separate agreements (contracts) between you and the Rights Holder.

You have the right to use the BAZIS Software only under the terms of this Agreement, unless otherwise specified in other contracts or agreements with the Rights Holder. If you do not unconditionally agree to accept the terms of this Agreement, you do not have the right to install and use the BAZIS Software and must remove all of its components from your computer (PC).
Violation of the terms of this Agreement entails liability in accordance with the current legislation of the Russian Federation.

1. Terms and Definitions of this Agreement
Rights Holder – LLC "Bazis-Center", registered at: 140407, Russia, Moscow Region, Kolomna, Shilova St., 15B, Office 11
Decompilation – the process of recreating source code using a decompiler (a program that translates an executable module (obtained from the compiler output) into a relatively equivalent source code in a high-level programming language).
Disassembly – the process and/or method of obtaining the source text of a program in assembly language from a program in machine code.

2. General Provisions
2.1. The term "BAZIS Software" includes BAZIS-Furniture Maker, BAZIS-Cabinet, BAZIS-Cutting, Post-Processor, BAZIS-Estimate, BAZIS-CNC, BAZIS-Salon, BAZIS-Warehouse, BAZIS-Packaging, libraries and applications (additional software) included in the specified software, as well as any updates and modifications. The conditions specified hereinafter apply both to the BAZIS Software as a whole and to all its components individually.
2.2. All exclusive rights to the BAZIS Software, additional software for the BAZIS Software, any copies or components (parts) of the BAZIS Software (including texts (including documentation for the BAZIS Software or its parts)) are the property of the Rights Holder and are protected by the copyright laws of the Russian Federation, as well as the provisions of this Agreement. 3. Types of Licenses for the BAZIS System, Licensing Rights for Their Use, and Limitations
3.1. Simple Non-Exclusive License – a full-featured license for the BAZIS Software, consisting of one or more modules depending on the configuration you choose. It is provided by the Rights Holder to both individuals and legal entities on a non-refundable basis for the entire duration of the Rights Holder's exclusive rights unless otherwise specified in separate contracts and/or agreements with the Rights Holder and/or its authorized representatives.
3.1.1. The number of BAZIS Software licenses you use simultaneously must not exceed the number of licenses you have lawfully acquired, unless otherwise stipulated in a separate contract or agreement with the Rights Holder. The number of computers with the Software installed on them or the number of potential users of the Software is not limited.
3.4. BAZIS Licenses for Educational Institutions
3.4.1. "Educational Set" – a full-featured license for the BAZIS Software provided by the Rights Holder to educational institutions exclusively for educational purposes and for no other purpose. This type of license may only be multi-user and is provided only to organizations that have a License for educational activities. In the printed version of the license agreement, this type of license is indicated as "Educational Set" or updates for it.
3.4.2. "Teacher's License" – a full-featured license for the BAZIS Software provided exclusively for educational purposes and for no other purpose to current teachers of organizations that have a License for educational activities and have an Educational Set of the BAZIS Software. This type of license may only be single-user and is provided for a period of 1 (one) calendar year from the moment of obtaining the license.
3.5. Software Provided as an Update
3.5.1. If the software is designated by the Rights Holder as an update, you must have a valid BAZIS Software license that the Rights Holder designates as eligible for an update to use it.
3.5.2. Software designated as an update replaces or supplements the license for using the BAZIS Software that underlies your right to the update. No additional licenses are provided in this case. You may use only the number of licenses you have purchased at any given time on all computers of the enterprise.
3.5.3. The upgradable BAZIS Software license and the update itself constitute a single license, and all terms of use and limitations described in this Agreement apply to it as a single entity. The previous BAZIS Software license cannot, including (but not limited to) be transferred, assigned, installed, or used on another computer of your company unless such a possibility is separately agreed upon with the Rights Holder.
3.5.4. Any obligations of the Rights Holder for technical support of the previously used BAZIS Software cease upon the lawful transfer to you of the software supplied as an update.

4. User Rights
4.1. In addition to other rights explicitly stated in this Agreement, the User is entitled to perform the following actions:
4.2. The User has the right to permanently transfer all of their rights under this Agreement and the BAZIS Software directly to another End User once. This right does not apply to BAZIS Software licenses provided to you under the terms of a Temporary Use Agreement.
4.2.1. The re-registration of the License Agreement to another User can be carried out based on a written request from the current User exclusively to the Rights Holder. His representatives or any third parties may act only as informational intermediaries.
4.2.2. The transfer must cover all BAZIS Software (including all components, media, and printed materials, as well as any updates).
4.2.3. The person receiving the BAZIS Software as a result of such a one-time transfer must agree to all the terms of this Agreement, including the obligation not to transfer this Agreement and the BAZIS Software to anyone else. Such written confirmation must also be sent to the Rights Holder.
4.2.4. When transferring your rights to the BAZIS Software to another User, the User undertakes to remove the BAZIS Software or its components from the memory of the computer and/or server; to destroy all existing backup copies of the transferred BAZIS Software.
4.3. If the User is a legal entity, in addition to other rights explicitly stated in this Agreement, you have the right to use the BAZIS Software to its full extent in accordance with its functional purpose in the quantity and composition specified in the printed version of the License Agreement within the territory of the enterprise or its branches.
4.4. If the User is an individual, in addition to other rights explicitly stated in this Agreement, you have the right to use the BAZIS Software to its full extent in accordance with its functional purpose in the quantity and composition specified in the printed version of the License Agreement within the territory of any country in the world.
4.5. If the User is an educational institution, in addition to other rights explicitly stated in this Agreement, you have the right to use the BAZIS Software to its full extent in accordance with its functional purpose in the quantity and composition specified in the printed version of the License Agreement within the territory of the educational institution or its branches.
4.6. The User has the right to all results obtained using the BAZIS Software.
4.7. The User has the right to create a copy of the BAZIS Software solely for archival or backup purposes. You may create and use 1 (one) backup copy of the BAZIS Software on a computer for archiving and reinstallation.
4.8. The User has the right, if necessary, to use the name of the Rights Holder in relation to the BAZIS Software for advertising purposes with mandatory prior notification to the Rights Holder.

5. Restrictions
5.1. In addition to other restrictions explicitly stated in this Agreement, and unless otherwise stipulated in a separate contract or agreement with the Rights Holder, this Agreement imposes the following restrictions:
5.2. This Agreement does not grant the User any rights to the individualization means of the Rights Holder and its partner companies, including (but not limited to) trademarks and service marks of the Rights Holder and its partner companies.
5.3. The User does not have the right to create any other copies of the BAZIS Software, except for those explicitly stated in this Agreement. In particular (but not limited to), the User does not have the right to copy or transfer the BAZIS Software or its components obtained from the Rights Holder or its authorized representative via the Internet or on a physical medium to any servers on the Internet.
5.4. Except for cases explicitly described in the User Rights section of this Agreement, the User does not have the right to distribute, provide, or in any other way transfer rights to use the BAZIS Software (licenses) or its parts or the physical medium containing the BAZIS Software or any of its copies to third parties. The transfer of the BAZIS Software is understood to include (but is not limited to): granting third parties access to the BAZIS Software or its components over a local area network or via the Internet, renting, leasing, or providing the BAZIS Software for temporary use, or lending it.
5.5. The User does not have the right to reverse engineer, decompile, or disassemble the BAZIS Software, nor to determine the source code of the BAZIS Software in any other way or to expand its functionality by integrating it with other software.
5.6. The User does not have the right to use and copy the BAZIS Software with a deliberately removed or damaged internal protection mechanism.
5.7. The User does not have the right to use the BAZIS Software in violation of the terms of this Agreement and/or in violation of the copyright of the Rights Holder and/or local legislation.

6. Term of the Agreement
6.1. In the case of lawful acquisition of the rights to use the BAZIS Software or its components, this Agreement is valid for the duration specified in paragraph 3.
6.2. This Agreement terminates and your rights are considered forfeited if you violate any of the terms of this Agreement, as well as if you exercise the rights specified in paragraph 4.1 of this Agreement.

7. Warranty Obligations of the Rights Holder
7.1. The Rights Holder makes no warranties, sets no conditions, and makes no representations, either express or implied, by law, custom, practice, or otherwise, except that the BAZIS Software as a whole meets its intended purpose and its technical specifications.
7.2. The BAZIS Software and its accompanying documentation are provided to the End User AS IS, in accordance with the generally accepted principle in international practice. This means that the Rights Holder is not responsible for any issues arising during the installation, updating, support, and operation of the Software (including but not limited to: compatibility issues with other software products (packages, drivers, etc.), problems arising from ambiguous interpretations of the accompanying documentation, discrepancies between the results of using the Software and the User's expectations, etc.).
7.3. The Rights Holder does not assume any warranties not provided for in this Agreement and/or applicable law.

8. Limitation of Liability
8.1. The Rights Holder shall not be liable for any direct or indirect losses, including lost profits, loss of confidential information, arising from the use or inability to use the BAZIS Software, including due to possible errors or typos in the technical documentation provided in electronic or printed form.
8.2. The Rights Holder shall not be liable for the functionality of the BAZIS Software in the event of damage to the User's information carriers, actions of computer viruses, power outages, equipment malfunctions, intentional damage, or violations of operating instructions (such as attempts to bypass protection, etc.).
8.3. The Rights Holder shall not be liable for issues in the operation of the BAZIS Software related to the use of counterfeit system, network, or application software (operating systems, office applications, utilities, etc.).
8.4. The Rights Holder does not initiate or control the placement of any information by the User in the process of using the Software, does not influence its content and integrity, and at the time of its placement does not know and cannot know whether it violates the legally protected rights and interests of third parties, international treaties, and applicable law.

9. Technical Support
9.1. The Rights Holder or its authorized representative provides free technical support for licenses of the BAZIS Software, except for the Demo version, for a period of 1 (one) calendar year from the moment of lawful transfer of rights to the BAZIS Software, unless otherwise specified in the Agreement. The rules for providing and the scope of technical support are described on the website: https://bazis-center.ru/support/rules.
9.2. The Rights Holder provides the opportunity to use limited functionality of the BAZIS Software within the framework of technical support, as described on the website: https://bazis-center.ru/support/limfunc.

10. Consent to Use of Information
10.1. The User hereby acknowledges and agrees that the Rights Holder may collect, store, process, and use diagnostic, technical, ancillary information, and information about the use of the BAZIS Software, including, but not limited to, unique identifiers of the system or hardware, information about the computer and equipment, system software and applications, additional devices, usage of various modules and functionalities of the BAZIS Software, and issues encountered during the operation of the BAZIS Software. This information is periodically collected to improve the BAZIS Software, provide technical support, and related services if such are provided. The Rights Holder may use this information that does not identify the User for the purposes described above.

10.2. The User hereby acknowledges and agrees that the Rights Holder, for the purpose of providing technical support to Users and informing them about the features of the BAZIS Software, may collect, store, use, and process information about the use of the BAZIS Software.
